style=\"font-weight: 400;\">The Company designates the Administration Division as the responsible unit for formulating and supervising the implementation of the integrity management policy. In accordance with the functions and scope of each department, responsibilities include drafting and revising the Company\u2019s <\/span><i><span style=\"font-weight: 400;\">Code of Integrity Management<\/span><\/i><span style=\"font-weight: 400;\">, conducting related advocacy campaigns, and providing education and training to ensure full compliance with the principles of integrity management.<\/span><\/p><\/div><ol><li class=\"responsibility_content_word\"><span style=\"font-weight: 400;\">\u00a0The Company has established the <\/span><i><span style=\"font-weight: 400;\">Kway Information Co., Ltd. Code of Integrity Management<\/span><\/i><span style=\"font-weight: 400;\">, which explicitly prohibits dishonest conduct, prevents conflicts of interest, and avoids pursuit of personal gain, with each relevant department required to enforce these provisions. In addition, the <\/span><i><span style=\"font-weight: 400;\">Rules of Procedure for the Board of Directors of Kway Information Co., Ltd.<\/span><\/i><span style=\"font-weight: 400;\"> expressly stipulate a conflict-of-interest avoidance mechanism for directors.<\/span><span style=\"font-weight: 400;\"><br \/><\/span><\/li><li><span style=\"font-weight: 400;\">\u00a0The Compensation Committee (the \u201cCommittee\u201d) consists of three members and holds at least two regular meetings annually. Members are appointed by resolution of the Board of Directors and are composed entirely of three independent directors, who elect one among them as the convener. The convener represents the Committee externally. The term of Committee members is the same as that of the appointing Board of Directors.<\/span><span style=\"font-weight: 400;\"><br \/><\/span><\/li><li><span style=\"font-weight: 400;\">\u00a0In accordance with the Securities and Exchange Act of the Republic of China, the Company established an Audit Committee on July 15, 2021. The committee is composed entirely of independent directors, primarily to assist the Board of Directors in supervising the integrity and quality of the Company\u2019s accounting, auditing, financial reporting processes, and financial controls. The Committee meets at least once per quarter, and additional meetings are convened as necessary. The term of its members is the same as that of the appointing Board of Directors.<\/span><\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t<section class=\"has_eae_slider elementor-section ensure continuous awareness, integrity management is included as part of the onboarding training program for new employees. Training content includes employee ethics, code of conduct, integrity and fair trade, confidentiality obligations, and related topics, enabling new staff to understand the Company's policies and direction on integrity management.\n<\/h6>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-7da32bd elementor-widget elementor-widget-heading\" data-id=\"7da32bd\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h6 class=\"elementor-heading-title elementor-size-default\"><ul>\n<li> On March 12, 2026, the actual implementation status for 2025 was reported to the Board of Directors. <\/li>\n<br>\n<li>In 2025, a total of 40 participants attended training sessions.
